Terms of Service — UGC Jungle These Terms of Service (“Terms”) constitute a legally binding agreement between you and Eternal Marketing, doing business as UGC Jungle (“UGC Jungle,” “we,” “us,” or “our”). UGC Jungle operates its website, platform, community, creator tools, campaign systems, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services. For questions, contact: support@ugcjungle.com Structure of These Terms These Terms are divided into three parts: ● Part I — General Terms (apply to all users) ● Part II — Additional Terms for Brands ● Part III — Additional Terms for Creators If there is a conflict, the applicable Part II or Part III controls for that user type, and any campaign-specific written agreement controls over these Terms only to the extent of that specific written agreement. PART I — GENERAL TERMS 1. Definitions “Brand” means any company, agency, client, organization, or person using the Services to request, purchase, manage, or participate in campaigns, creator sourcing, or related services. “Creator” means any individual using the Services to create content, apply for campaigns, participate in coaching, or receive opportunities or payouts. “Campaign” means any project, brief, collaboration, content request, pay-per-view arrangement, or other opportunity made available through the Services. “Deliverables” means any content, materials, assets, or outputs created or submitted in connection with a Campaign, including videos, images, edits, raw files, captions, posts, drafts, or similar materials. “User Content” means any content, data, materials, profile information, submissions, or communications uploaded, posted, shared, or otherwise provided by a user. “UGC Jungle Content” means the Services and all content, software, systems, branding, text, graphics, designs, workflows, and materials provided by UGC Jungle, excluding User Content. “Subscription” means any paid recurring or one-time access to parts of the Services, including creator memberships, community access, coaching, or educational resources. “Payout” means any payment, compensation, or transfer made to a Creator in connection with a Campaign or other Services activity. “Campaign Agreement” means any separate written agreement, proposal, invoice, order confirmation, campaign brief, or deal-specific written terms between UGC Jungle and a Brand, or otherwise expressly approved by UGC Jungle. “Performance Target” means any metric, target, goal, estimate, deliverable threshold, or campaign objective, including but not limited to views, impressions, reach, engagement, leads, conversions, or similar campaign results. 2. Eligibility You may use the Services only if: ● You are at least 18 years old ● You are legally capable of entering into a binding contract ● You are not barred from using the Services under applicable law If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms. We may suspend or terminate access if you do not meet these requirements. 3. Nature of the Services UGC Jungle provides a platform and related services that may include: ● Creator accounts and profiles ● Brand campaigns and content opportunities ● Creator coaching and community access ● Educational resources and support ● Campaign coordination and creator matching ● Payment, payout, subscription, and analytics features ● Social account integrations and related tools UGC Jungle may act as a platform, facilitator, coordinator, or service provider depending on the specific feature or campaign, but nothing in these Terms creates any employment, partnership, fiduciary, escrow, or agency relationship unless expressly stated otherwise in a separate written agreement. UGC Jungle may provide managed campaign services to Brands, including creator sourcing, campaign coordination, content administration, performance review, analytics support, quality control, and related services. Unless expressly agreed otherwise in writing, Brands purchase services from UGC Jungle and do not purchase services directly from individual Creators through the platform. Creators who participate in Campaigns may be separately compensated by UGC Jungle as independent contractors, campaign participants, or content suppliers according to the applicable Creator terms, Campaign requirements, and payout rules. UGC Jungle is not a payment institution, escrow agent, trustee, fiduciary, money transmitter, or regulated payment service provider. UGC Jungle does not provide standalone payment services and does not hold Brand funds on behalf of Creators unless expressly required by law or agreed in a compliant written arrangement. 4. Accounts and Security You are responsible for: ● Providing accurate account information ● Maintaining the security of your login credentials ● All activity that occurs under your account ● Promptly notifying us of any unauthorized access or security issue We may suspend or terminate accounts that are inaccurate, deceptive, insecure, abusive, or in violation of these Terms. 5. Privacy Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. 6. Immediate Access to Digital Services By purchasing a Subscription or otherwise accessing paid portions of the Services, you agree that UGC Jungle is a digital service provided immediately upon purchase or activation. This includes access to: ● The platform and dashboard ● Community features, including Discord ● Coaching calls and educational resources ● Campaign-related features ● Creator tools and platform features ● Other digital content, tools, or resources made available through the Services Access begins immediately after purchase or activation. You acknowledge that UGC Jungle’s paid Services are digital services provided immediately upon purchase or activation. 7. Refunds & Withdrawal Rights EU Users If you are located in the European Union, you may have a statutory right to withdraw from certain online purchases within 14 days. However, by completing your purchase and accessing the Services, you expressly: Request immediate access to the digital service Acknowledge that the Services begin immediately after purchase or activation Acknowledge that your statutory withdrawal right may be lost or limited once you access or use the Services, to the maximum extent permitted by applicable law Definition of “Use” Use of the Services includes, but is not limited to: ● Creating or activating an account ● Logging into the platform ● Accessing any content, dashboard, community, tool, or feature ● Joining or accessing the community, including Discord ● Viewing or participating in coaching sessions ● Completing onboarding steps ● Applying for, participating in, or interacting with Campaigns ● Using creator, analytics, or platform tools Once any of the above occurs, the Services are considered used and the right of withdrawal may no longer apply to the maximum extent permitted by applicable law. Non-EU Users ● All purchases are final unless required otherwise by applicable law. ● Abuse, Chargebacks & Disputes We reserve the right to deny refunds and take action in cases of: ● Refund abuse ● Repeated refund requests ● Chargebacks or payment disputes ● Fraudulent or deceptive conduct ● Attempts to access the Services while also claiming non-use Accounts may be suspended or permanently terminated in such cases. 8. Subscriptions, Billing & Payments Creator Subscriptions Creator Subscriptions are processed through Whop. Whop may handle billing, renewals, VAT, payment processing, and subscription administration under its own terms and policies. By purchasing a Subscription, you authorize recurring billing where applicable until cancellation. Brand Payments Brand payments may be processed through: ● Stripe ● Direct bank transfer ● Wise ● Other approved invoicing or payment methods Brand payments may also be governed by separate Campaign Agreements, invoices, proposals, or written deal terms. Creator Payouts Creator Payouts may be made through: ● Wise ● PayPal ● Direct bank transfer We may require payment details, verification information, tax-related information, identity confirmation, compliance checks, or other documentation before issuing a Payout. We reserve the right to delay, adjust, withhold, suspend, or reverse any Payout where reasonably necessary for verification, fraud prevention, Campaign disputes, compliance, processor requirements, or legal obligations. 9. Cancellation You may cancel your Subscription at any time. Cancellation will stop future renewals but will not entitle you to a refund for the current billing period unless required by applicable law. Access may continue until the end of the active billing period unless suspended or terminated earlier under these Terms. 10. No Guarantees & Platform Disclaimer UGC Jungle provides a platform and related services designed to connect creators and brands, offer tools, and provide educational and community-based support. Except where expressly agreed otherwise in a separate written agreement, Campaign Agreement, proposal, invoice, or order confirmation, UGC Jungle does not guarantee any specific results. No Earnings Guarantee (Creators) UGC Jungle does not guarantee that any user will: ● Earn income ● Receive brand deals ● Achieve specific financial results ● Gain followers, views, or engagement Any examples of earnings, testimonials, case studies, or outcomes are illustrative only and are not typical or guaranteed. Results depend on many factors outside UGC Jungle’s control, including individual effort, skill, timing, competition, market demand, brand demand, platform rules, and algorithmic behavior. Brand Campaigns & Performance Terms UGC Jungle may offer campaign services, creator sourcing, content coordination, distribution support, and performance-based deal structures for Brands. Unless expressly agreed otherwise in a separate written agreement, Campaign Agreement, proposal, invoice, or order confirmation, UGC Jungle does not guarantee specific views, impressions, reach, engagement, conversions, leads, sales, or return on investment. Where UGC Jungle and a Brand expressly agree in writing on specific Campaign targets, deliverables, or performance-based terms, those terms apply only to that specific Campaign. Any such Campaign-specific terms, including agreed targets, budgets, payout structures, timelines, or performance commitments, override these general Terms only to the extent of that specific written agreement. Unless expressly agreed in writing, UGC Jungle does not guarantee that any Campaign target, deliverable, or Performance Target will be achieved by a specific date or within a specific timeframe. Campaign timing and performance may be affected by factors outside UGC Jungle’s reasonable control, including: ● Third-party platform algorithms ● Creator availability ● Content approval timing ● Platform moderation or restrictions ● User behavior and organic distribution ● API or reporting changes UGC Jungle is not responsible for delays, underperformance, or distribution changes caused by external factors beyond its reasonable control, except where otherwise expressly agreed in writing. CPM / Views-Based Campaigns Where Campaigns are structured around views or similar metrics, such figures are targets, goals, or estimates unless otherwise expressly agreed in writing. Actual results may vary significantly depending on timing, user behavior, creator output, distribution, third-party platform reporting, and algorithmic systems. Unless expressly agreed in writing, UGC Jungle does not guarantee that any specific view count will be achieved within any specific period of time. Educational & Coaching Disclaimer Any coaching, guidance, education, calls, resources, templates, or community discussions provided by UGC Jungle are for informational and support purposes only. UGC Jungle does not guarantee that following such guidance will produce any specific result. 11. Fraudulent Traffic, Metric Manipulation & Attribution For any Campaign where Creator compensation is based in whole or in part on views, impressions, reach, engagement, conversions, or other performance metrics, only metrics approved by UGC Jungle shall be eligible for Payouts. UGC Jungle may rely on a combination of platform API data, third-party analytics, internal platform data, manual review, Brand feedback, Creator-submitted analytics, audience data, and any other information reasonably available to assess whether metrics are valid. Creators acknowledge and agree that platform-reported metrics are not automatically payable. UGC Jungle retains the sole discretion to reject, exclude, discount, adjust, or invalidate any views or other metrics where UGC Jungle believes, in its reasonable judgment, that such metrics are invalid, low-quality, artificial, manipulated, non-organic, geographically non-compliant, commercially unsuitable, or otherwise inconsistent with the applicable Campaign requirements. Invalid or non-payable metrics may include, without limitation: ● bot traffic; ● fake or purchased views; ● VPN, proxy, data-center, or suspicious traffic; ● engagement pods; ● incentivized or forced views; ● misleading traffic sources; ● reposted, recycled, duplicated, or unauthorized content; ● traffic from prohibited or non-target countries; ● traffic with insufficient Tier 1 audience composition where required by the Campaign; ● abnormal spikes, retention patterns, audience patterns, or engagement ratios; ● views generated through spam, automation, click farms, or coordinated manipulation; ● any traffic or metric activity that UGC Jungle, a Brand, a payment processor, or a third-party platform reasonably considers suspicious, invalid, or non-compliant. Creators may be required at any time to provide screenshots, audience demographics, analytics access, platform insights, account data, traffic-source information, or other evidence requested by UGC Jungle to verify the legitimacy, quality, geography, and organic nature of Campaign performance. Failure to provide requested verification materials within the timeframe required by UGC Jungle may result in the related metrics being rejected and any related Payout being delayed, withheld, reduced, reversed, or forfeited to the maximum extent permitted by law. UGC Jungle may withhold pending Payouts, delay Payouts beyond the standard payout schedule, reverse previously approved earnings, deduct amounts from future Payouts, suspend Campaign access, terminate the Creator’s account, or pursue recovery of amounts already paid if UGC Jungle determines or reasonably suspects that invalid, artificial, manipulated, non-organic, or non-compliant metrics contributed to a Payout. Creators are responsible for the legitimacy and quality of traffic generated through their content, accounts, audiences, distribution methods, and promotional activity, including where suspicious or invalid traffic is caused by third parties, audiences, vendors, bots, competitors, engagement groups, or external actors. UGC Jungle is not required to pay for views or metrics that it determines are not valid organic Campaign performance, regardless of whether the Creator personally caused the invalid activity. For clarity, UGC Jungle has no obligation to pay for metrics merely because they appear in platform analytics, API data, screenshots, or public view counts. Only approved metrics, as determined by UGC Jungle, are eligible for Payout. Attribution, Tracking, Cookie Loss & Manual Adjustments UGC Jungle may use affiliate links, campaign links, referral links, discount codes, creator accounts, platform accounts, checkout data, payment processor data, analytics tools, internal tracking systems, Whop, Stripe, Google Analytics, and other approved tracking methods to attribute Campaign results, referrals, conversions, sales, or other payable events. Unless otherwise expressly agreed in writing for a specific Campaign, the standard attribution window is thirty (30) days from the relevant tracked click, referral, code use, account connection, or other qualifying attribution event, as determined by UGC Jungle. Creators acknowledge and agree that payouts, commissions, rewards, or other compensation related to conversions, referrals, sales, or attributed Campaign results are payable only where the relevant event is successfully tracked, verified, and approved by UGC Jungle through its systems or approved tracking methods. UGC Jungle is not responsible for, and shall have no liability for, lost, missing, delayed, duplicated, rejected, or unattributed conversions, sales, referrals, or revenue caused by: ● user ad blockers; ● browser privacy settings; ● iOS, Android, or device-level privacy restrictions; ● declined cookie consent; ● cookie deletion or expiration; ● VPNs, proxies, or private browsing; ● broken links or incorrect link usage; ● platform API limitations; ● checkout or payment processor errors; ● third-party analytics discrepancies; ● payment failures, chargebacks, refunds, or reversals; ● Brand-side tracking failures; ● Creator-side mistakes; ● users purchasing through a different device, browser, account, link, code, or checkout path; ● any other technical, privacy, consent, or attribution limitation outside UGC Jungle’s reasonable control. For clarity, the absence of successful tracking or attribution means that no automatic right to payout arises, even if a Creator believes they contributed to a sale, conversion, referral, or Campaign result. UGC Jungle may, but is not required to, make manual attribution corrections, manual payout adjustments, discretionary credits, or goodwill corrections where UGC Jungle determines that sufficient evidence exists. Any such manual correction is made solely at UGC Jungle’s discretion and does not create a precedent, obligation, or entitlement for any future correction. UGC Jungle’s internal attribution records, platform data, payment processor records, analytics data, and final attribution determination shall control for payout purposes unless UGC Jungle expressly agrees otherwise in writing. Creators and Brands may not bypass, avoid, manipulate, obscure, or interfere with UGC Jungle’s tracking systems, links, codes, payment flows, attribution rules, or platform processes. Off-platform deals, side agreements, direct payments, manual Brand-Creator arrangements, or attempts to move Campaign activity outside UGC Jungle are prohibited unless expressly approved in writing by UGC Jungle. Any conversion, sale, referral, payment, or Campaign result generated outside UGC Jungle’s approved systems may be excluded from payouts and may result in suspension, termination, forfeiture of unpaid amounts to the extent permitted by law, recovery of lost fees, and other enforcement action. 12. User Content You retain ownership of your User Content, subject to the licenses granted in these Terms. By uploading, submitting, posting, or otherwise providing User Content, you grant UGC Jungle a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable, perpetual license to use, host, reproduce, modify, distribute, display, publish, and otherwise exploit such User Content solely to operate, improve, market, promote, and provide the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate law or third-party rights. 13. UGC Jungle Intellectual Property UGC Jungle owns or licenses all rights in the Services and UGC Jungle Content, including software, systems, workflows, trademarks, logos, branding, materials, and designs. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Services for personal or internal business purposes only. 14. Prohibited Activities You may not: ● Use the Services for unlawful, fraudulent, or deceptive purposes ● Misrepresent your identity, affiliation, experience, or results ● Post infringing, defamatory, abusive, obscene, misleading, or unlawful content ● Harass, threaten, exploit, or abuse other users ● Circumvent fees, platform protections, or enforcement systems ● Scrape, automate, or access the Services using unauthorized means ● Reverse engineer or interfere with the Services ● Introduce malware, harmful code, or security threats ● Bypass UGC Jungle’s payment systems or protections ● Use information obtained through the Services in violation of privacy, advertising, or communication laws 15. Confidentiality You may receive non-public or confidential information relating to UGC Jungle, Brands, Creators, Campaigns, or business operations (“Confidential Information”). You agree to: ● Use Confidential Information only as necessary to use the Services ● Protect it using reasonable care ● Not disclose it except as legally required 16. Third-Party Services The Services may integrate with or rely on third-party platforms or providers, including but not limited to Whop, Stripe, Wise, PayPal, Discord, Meta, TikTok, YouTube, analytics tools, and email providers. UGC Jungle is not responsible for the availability, conduct, outages, policies, reporting, moderation, payment handling, API access, or actions of third-party services. 17. Connected Accounts If you connect social media or other third-party accounts, you authorize us to access and process data made available through those accounts and their APIs, subject to: ● The permissions you grant ● The relevant API capabilities ● The features you choose to use ● Applicable law and platform rules We are not responsible for account suspensions, access changes, API restrictions, reporting changes, or enforcement actions taken by third-party platforms. 18. Community, Discord & Coaching UGC Jungle may provide access to community spaces and group coaching sessions, including through Discord and similar platforms. These features are part of the overall platform experience. Participation in discussions, calls, and live sessions is voluntary, and users may choose the extent to which they engage. By participating, you understand that: ● Your username, messages, voice, activity, and shared materials may be visible to other members ● Information you share is shared at your own discretion ● Community activity may be monitored for moderation, safety, and quality purposes Some sessions may be recorded for internal, educational, support, quality-control, or promotional purposes. Where applicable, notice may be provided. By participating, you consent to potential recording unless otherwise stated. 19. Copyright Infringement / Takedown UGC Jungle respects intellectual property rights and expects users to do the same. We may remove, disable, restrict, or investigate content alleged to infringe copyrights, trademarks, publicity rights, privacy rights, or other third-party rights. If you believe content on the Services infringes your rights, you may contact: support@ugcjungle.com We may suspend or terminate repeat infringers at our discretion. Creator content submitted to or made available through UGC Jungle may be provided through links, embeds, public URLs, connected social accounts, platform APIs, or references to third-party platforms such as Instagram, TikTok, YouTube, or similar services. UGC Jungle does not guarantee that any content, audio, music, sound, visual element, template, trend, or media asset available on a third-party platform is cleared for all uses, territories, formats, advertising channels, or commercial purposes. Creators may use sounds, music, templates, trends, and platform-native features where permitted by the applicable third-party platform and Campaign requirements. However, availability or permitted use on a social media platform does not necessarily mean that the same content, music, sound, or asset is cleared for paid advertising, whitelisting, reposting, editing, sublicensing, redistribution, commercial exploitation, or use outside that platform. Unless otherwise expressly agreed in a Campaign Agreement, Brands are responsible for determining whether Deliverables, including any music, sounds, voiceovers, visuals, claims, trademarks, likenesses, or other elements, are suitable and legally cleared for the Brand’s intended use, including paid ads, organic reposting, website use, email marketing, sublicensing, whitelisting, Spark Ads, Meta ads, TikTok ads, or other commercial distribution. UGC Jungle may, at any time and without liability, remove, restrict, hide, disable, reject, demonetize, withhold approval for, or decline to display any content, Deliverable, Campaign material, example video, reference creative, or embedded content where UGC Jungle believes there may be a copyright, trademark, publicity, privacy, platform-policy, brand-safety, advertising, or legal risk. UGC Jungle may also remove, restrict, or disable content in response to complaints, takedown notices, platform restrictions, algorithmic copyright claims, repeat-infringer concerns, Brand requests, Creator requests, or legal demands. Creators and Brands agree to cooperate with UGC Jungle in good faith in connection with copyright claims, takedown requests, rights-clearance questions, platform disputes, revisions, removals, or legal compliance issues. UGC Jungle is not responsible for third-party platform takedowns, muted audio, copyright flags, demonetization, reduced reach, account restrictions, ad rejections, rights-management claims, or content unavailability caused by Instagram, TikTok, YouTube, Meta, Google, rights holders, music libraries, automated detection systems, or other third parties. Where UGC Jungle embeds or references Creator content from third-party platforms, UGC Jungle is not required to preserve, replace, archive, or restore such content if it becomes unavailable, deleted, private, muted, restricted, removed, or inaccessible. Nothing in these Terms limits UGC Jungle’s right to maintain a copyright notice-and-takedown process, investigate alleged infringement, suspend repeat infringers, remove content proactively, or take enforcement action where necessary to protect the Services, Brands, Creators, or UGC Jungle. 20. Enforcement; Suspension; Termination We may monitor use of the Services and may suspend, restrict, remove content, remove Campaign access, or terminate accounts at our sole discretion, with or without notice, where we believe it is necessary for legal, operational, financial, reputational, quality, safety, or compliance reasons. Provisions that by their nature should survive termination will survive termination. 21. Electronic Communications You agree that UGC Jungle may communicate with you via email, platform notifications, Discord, SMS, messaging tools, or other electronic means. You acknowledge that UGC Jungle does not guarantee delivery, timing, or receipt of such communications and is not liable for any delay, filtering, non-delivery, or technical issue affecting communications. 22. Disclaimer TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UGC JUNGLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, RELIABILITY, OR UNINTERRUPTED OPERATION. 23. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGC JUNGLE, ETERNAL MARKETING, AND THEIR OWNERS, AFFILIATES, CONTRACTORS, EMPLOYEES, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: ● THE AMOUNT PAID BY YOU TO UGC JUNGLE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ● €100 24. Indemnification You agree to defend, indemnify, and hold harmless UGC Jungle, Eternal Marketing, and their affiliates, owners, contractors, employees, and representatives from and against claims, damages, liabilities, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to: ● Your use of the Services ● Your User Content ● Your conduct ● Your violation of these Terms ● Your infringement of third-party rights ● Your violation of law or platform rules 25. Force Majeure UGC Jungle shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, internet outages, power failures, payment processor failures, third-party platform failures, API changes, social media platform policy changes, or other events beyond its reasonable control. 26. Governing Law These Terms are governed by the laws of the Netherlands. Any disputes arising out of or relating to these Terms or the Services shall be submitted to the competent court in Amsterdam, the Netherlands, unless mandatory consumer law provides otherwise. 27. Dispute Resolution Any dispute arising out of or relating to these Terms or the Services shall be resolved in accordance by the laws of the Netherlands, without regard to conflict-of-law rules. 28. Miscellaneous These Terms constitute the entire agreement between you and UGC Jungle regarding the Services, together with any applicable Campaign Agreements, invoices, proposals, refund policy, and privacy policy. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. UGC Jungle may assign these Terms freely. 29. Brand Authority If you use the Services on behalf of a Brand, company, agency, or other organization, you represent that you have authority to bind that entity. B2. Campaign Responsibility Brands are solely responsible for: ● Campaign briefs ● Deliverable requirements ● Brand safety requirements ● Approval decisions ● Advertising and communication compliance ● Any claims, disclosures, permissions, approvals, or legal bases required for the Campaign Brands must comply with all applicable laws and regulations, including advertising, privacy, communications, endorsement, consumer protection, and platform-specific rules. Brands are solely responsible for determining whether Deliverables are legally suitable for the Brand’s intended use, including paid advertising, organic reposting, website use, email marketing, sublicensing, whitelisting, Spark Ads, Meta ads, TikTok ads, or other commercial distribution. This includes responsibility for any music, sounds, voiceovers, visuals, trademarks, claims, disclosures, likeness rights, platform permissions, advertising approvals, and rights clearances required for the Brand’s intended use. B3. Communications with Creators Brands represent and warrant that they have all rights, permissions, and lawful bases necessary to contact, brief, message, invite, or otherwise communicate with Creators through or as a result of the Services. Brands shall indemnify and hold UGC Jungle harmless from claims, fines, damages, penalties, or expenses arising out of or related to Brand communications, solicitations, messaging practices, or legal non-compliance. B4. Relationship Between UGC Jungle, Brands, and Creators UGC Jungle is not a staffing agency, employer, payroll provider, trustee, escrow agent, or fiduciary. Creators are not employees of UGC Jungle. Unless otherwise expressly agreed in writing, Creators are not employees of the Brand by virtue of using the Services alone. Any campaign-specific working relationship may be governed by separate agreements, but UGC Jungle is not a party to any side agreement between a Brand and a Creator unless expressly stated in writing. Unless expressly agreed otherwise in writing, Brands engage UGC Jungle to provide managed campaign services and do not directly engage, hire, purchase from, or contract with individual Creators through the Services. UGC Jungle may use Creators, contractors, suppliers, or other participants to perform or support Campaigns. No Brand payment shall be treated as funds held in escrow, trust, custody, or safekeeping for any Creator. Creator compensation, where applicable, is determined and paid by UGC Jungle under the Creator payout terms and applicable Campaign requirements. B5. Brand Payments B5. Brand Payments Brands authorize UGC Jungle to charge or collect amounts owed for: ● Campaign fees ● Service fees ● Platform fees ● Campaign administration fees ● Creator sourcing and coordination fees ● Campaign costs, including creator-related production or participation costs where applicable ● Taxes where applicable ● Chargeback-related losses ● Late fees or enforcement amounts where permitted ● Agreed performance-based fees All Brand payments are non-refundable unless otherwise expressly stated in writing or required by law. Brand payments are payments to UGC Jungle for managed campaign services, platform services, campaign administration, creator sourcing, performance review, content coordination, service fees, and related Campaign costs. Brand payments are not deposits, escrow funds, trust funds, custodial funds, safeguarded funds, or segregated funds held for Creators. UGC Jungle does not act as an escrow agent, trustee, fiduciary, money transmitter, payment institution, or regulated payment service provider for Brand funds unless expressly required by law or agreed in a compliant written arrangement. UGC Jungle may determine its own service fees, margins, platform fees, campaign costs, Creator compensation structure, and payout rules. Unless expressly agreed otherwise in writing, Brands do not determine individual Creator payouts and have no payment obligation directly to Creators. Creator compensation, where applicable, is determined and paid by UGC Jungle under the Creator payout terms and applicable Campaign requirements. B6. Deliverables Review Window Unless otherwise expressly agreed in writing, Brands have 5 business days from delivery or submission of Deliverables to accept or reject them. If the Brand does not reject Deliverables within that period with specific reasons, the Deliverables will be deemed accepted. This review period may also apply to milestone-based Campaign submissions unless otherwise agreed in writing. B7. Disputes Over Deliverables If a Brand disputes Deliverables, the Brand must provide reasonably specific grounds for rejection within the applicable review period. UGC Jungle may, but is not obligated to, facilitate revisions, resubmissions, clarifications, or dispute handling. B8. Campaign-Specific Overrides Where UGC Jungle and a Brand expressly agree in writing on: ● Performance Targets ● Budgets ● Deliverables ● Payment structures ● Timelines ● View-based or CPM-based commitments ● Ownership or licensing terms those written terms govern that specific Campaign. B9. Non-Circumvention (Brands) Brands may not directly or indirectly work with, hire, contract, pay, or solicit Creators sourced through UGC Jungle outside the platform or outside UGC Jungle’s approved process for the purpose of avoiding fees, commissions, or platform protections. Violations may result in: ● Immediate suspension or termination ● Withholding of access ● Recovery of lost fees or damages ● Additional enforcement action Brands may not use information, Creator profiles, Campaign participation, Deliverables, communications, or introductions obtained through UGC Jungle to create off-platform arrangements, direct payment relationships, unpaid collaborations, side deals, or alternative tracking/payment structures designed to bypass UGC Jungle’s fees, attribution systems, payment flows, or platform protections. B10. Brand Use of Deliverables & Usage Rights Unless otherwise expressly agreed in a Campaign Agreement, Brands receive usage rights only in approved and paid Deliverables. Rejected, unapproved, unpaid, disputed, draft, sample, or non-compliant Deliverables may not be used, published, reposted, edited, distributed, sublicensed, advertised, or otherwise exploited by the Brand. Unless otherwise expressly agreed in writing, approved and paid Deliverables may be used by the Brand for organic social media posting, website display, email marketing, and non-paid promotional use for a period of twelve (12) months from the date of approval or delivery. Paid advertising usage, whitelisting, Spark Ads, Meta ads, TikTok ads, paid amplification, dark posting, creator handle usage, paid usage of the Creator’s name, image, likeness, voice, profile, or identity, and any other paid media usage are not included unless expressly approved in writing by UGC Jungle and, where required by UGC Jungle, communicated to or approved by the Creator. Any paid usage, extended usage, exclusive usage, whitelisting, paid advertising, platform-specific ad usage, or usage beyond the default twelve (12) month organic usage period may require additional fees, additional Creator approval, additional Brand obligations, or separate Campaign-specific terms. Brands may not materially edit, alter, subtitle, translate, dub, AI-translate, replace voiceovers, combine Deliverables with other assets, create derivative ads, use AI-generated versions of the Creator’s voice or likeness, or modify Deliverables in a way that changes the meaning, claims, context, identity, or presentation of the Creator or the Campaign unless expressly approved in writing by UGC Jungle and, where required by UGC Jungle, the Creator. Brands are responsible for ensuring that their intended use of Deliverables complies with all applicable laws, advertising rules, platform rules, disclosure requirements, music rights, intellectual property rights, likeness rights, privacy rights, and third-party permissions. This includes responsibility for paid advertising, reposting, whitelisting, sublicensing, editing, translation, AI modification, and commercial distribution. UGC Jungle may require Brands to disclose their intended usage channels, duration, formats, paid media plans, editing plans, sublicensing needs, whitelisting requirements, and any use of the Creator’s name, image, likeness, voice, handle, or profile before usage rights are granted or expanded. Campaign-specific written terms may override the default usage rights in this section, including the usage duration, platforms, formats, paid usage rights, exclusivity, sublicensing rights, editing rights, whitelisting rights, or additional fees. B11. Publicity Unless the Brand opts out in writing, UGC Jungle may use the Brand’s name, logo, Campaign participation, or general non-confidential results for case studies, client lists, marketing, sales, and promotional purposes. PART III — ADDITIONAL TERMS FOR CREATORS UGC Jungle may provide different features to different categories of Creators, including Creator Members and Campaign Creators. A “Creator Member” is a user who purchases or accesses a Subscription, community access, coaching, educational resources, platform tools, or related digital services. A “Campaign Creator” is a Creator who applies for, participates in, submits Deliverables for, receives opportunities from, or requests Payouts in connection with Campaigns. C1. Creator Eligibility & Verification & Payout Approval Creators may apply to participate in Campaigns and creator opportunities through the Services. Approval, access, participation, visibility, and payout eligibility are not automatic and remain subject to UGC Jungle’s review, verification, compliance checks, and Campaign requirements. Unless UGC Jungle expressly enables a direct marketplace, direct booking, storefront, or self-service offer feature, Creators do not independently list, sell, price, or contract their services directly to Brands through the Services. UGC Jungle may coordinate, approve, structure, manage, or facilitate Campaign terms, Creator participation, payout eligibility, and Brand-Creator matching. Creators may be required to complete onboarding, identity verification, payment verification, age verification, tax-related checks, sanctions screening, business verification, address confirmation, account-linking, or other compliance steps before receiving Payouts, accessing certain Campaigns, or using specific features. Creating an account, purchasing a Subscription, joining the community, applying for a Campaign, submitting content, generating views, or participating in the Services does not guarantee payout eligibility. UGC Jungle may require verification before any Payout is issued. UGC Jungle may request information and documentation including, where legally appropriate and proportionate, legal name, date of birth, address, country of residence, payment details, identity documents, tax information, business registration details, VAT number, trade register information, social account information, invoices, self-certifications, or other information required for payment, tax, fraud prevention, sanctions compliance, DSA compliance, platform safety, or legal obligations. UGC Jungle may approve, reject, delay, suspend, restrict, or remove a Creator from Campaign access, marketplace access, direct booking access, payout eligibility, or the Services if verification is incomplete, inaccurate, inconsistent, expired, suspicious, unlawful, or otherwise insufficient. Creators are responsible for ensuring that they are legally permitted to provide creator, content, promotional, marketing, or campaign-related services in their country of residence and in any country where their services are offered or performed. UGC Jungle may restrict, suspend, or deny access to users, Creators, Campaigns, features, countries, payment methods, or payout destinations where required by EU law, sanctions rules, payment processor requirements, platform rules, tax rules, or UGC Jungle’s compliance policies. Future Marketplace, Direct Booking & Trader Verification UGC Jungle may, now or in the future, offer features that allow Brands to discover, shortlist, request, book, or contract with Creators, or that allow Creators to display profiles, example content, service categories, availability, pricing ranges, or other commercial information. Where UGC Jungle determines that a Creator uses the Services as a trader, business user, professional seller, independent service provider, or other commercial party, UGC Jungle may require additional Know Your Business Customer, identity, tax, address, trade register, VAT, business-status, or self-certification checks before the Creator can access such features or receive related Payouts. UGC Jungle may require Creators to self-certify whether they are acting as a consumer, individual creator, independent contractor, entrepreneur, trader, business, or professional service provider. UGC Jungle may rely on such self-certification unless it has reason to believe the information is inaccurate or incomplete. UGC Jungle may refuse, suspend, or remove marketplace, direct booking, or payout access where a Creator fails to provide required trader, business, identity, tax, or compliance information. C2. Independent Status Creators use the Services as independent users or independent contractors, not as employees, agents, franchisees, partners, or representatives of UGC Jungle. Creators are solely responsible for: ● Taxes ● Expenses ● Equipment ● Production methods ● Account compliance ● Legal compliance ● Required disclosures Nothing in these Terms creates an employment relationship between UGC Jungle and any Creator. By applying for or participating in Campaigns, submitting Deliverables, generating Campaign performance, or requesting Payouts, the Creator represents and warrants that they are acting for professional, commercial, promotional, or income-generating purposes and not solely as a private consumer. UGC Jungle may allow individuals without formal business registration to participate in Campaigns where permitted by applicable law and UGC Jungle’s compliance policies. However, UGC Jungle may require business registration, tax registration, VAT information, invoices, or additional documentation where required by law, payment processors, tax rules, Campaign terms, Brand requirements, or UGC Jungle’s internal policies. Campaign Creators are solely responsible for all taxes, VAT, social contributions, reporting obligations, invoicing obligations, permits, registrations, business-status requirements, and legal obligations arising from Campaign participation or Payouts. Creators are solely responsible for determining whether they are legally permitted to provide paid creator, promotional, marketing, content, or campaign-related services in their country of residence and any country where their services are performed or offered. C3. No Guarantee of Work UGC Jungle does not guarantee that Creators will be selected for Campaigns, receive ongoing opportunities, or earn any income. Campaign opportunities may vary at any time. C4. Campaign Compliance Creators must comply with: ● Campaign briefs ● Deliverable requirements ● Timing requirements where applicable ● Applicable disclosure and advertising rules ● Platform-specific requirements ● Applicable law UGC Jungle may remove Creators from Campaigns or withhold eligibility where Creators fail to comply. C5. Creator Profiles & Content Display Creators grant UGC Jungle permission to display Creator profiles, handles, bios, example content, Campaign participation, and related public-facing or platform-facing information for marketplace operation, marketing, Campaign administration, and Services functionality. C6. Deliverables; Ownership; Licensing Creators retain ownership of Deliverables unless otherwise expressly agreed in writing. By submitting Deliverables through UGC Jungle, the Creator grants UGC Jungle the rights described in Part I and in this Part III, including the rights necessary to operate, improve, market, promote, provide, administer, review, analyze, and enforce the Services and Campaigns. The applicable Brand receives only the usage rights expressly described in the applicable Campaign Agreement, Brand usage terms, or these Terms, and only after the Deliverables are approved and paid for. If a specific Campaign Agreement states that ownership, exclusive rights, assignment, broader licensing, paid usage rights, whitelisting, sublicensing, extended usage, or custom licensing will apply after payment or acceptance, that written agreement controls. Winning Creatives Library; Reference Use By submitting Deliverables, participating in a Campaign, or making Campaign-related content available through the Services, the Creator grants UGC Jungle a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable, perpetual, irrevocable license to use, host, access, fetch, embed, reproduce, display, distribute, publish, adapt, modify, excerpt, analyze, and otherwise use such Deliverables, related performance data, screenshots, thumbnails, captions, hooks, scripts, structures, formats, creative concepts, and Campaign results for the operation, improvement, marketing, promotion, education, training, onboarding, sales, quality-control, and development of the Services. This includes the right to include Deliverables and related materials in UGC Jungle’s internal or external “Winning Creatives” library, reference library, training materials, onboarding materials, sales materials, case studies, creative examples, platform dashboards, Brand-facing materials, Creator-facing materials, and similar resources. The Creator acknowledges and agrees that such materials may be visible to UGC Jungle, Brands, Creators, prospective Brands, prospective Creators, contractors, partners, team members, and other users or stakeholders as determined by UGC Jungle. UGC Jungle may fetch, embed, display, or reference Deliverables from third-party platforms such as Instagram, TikTok, YouTube, or similar platforms. UGC Jungle is not required to maintain access to Deliverables if they are deleted, hidden, removed, restricted, made private, or otherwise unavailable on the relevant third-party platform. However, where UGC Jungle has separately saved, reproduced, screenshotted, downloaded, archived, or incorporated Deliverables into case studies, sales materials, onboarding materials, training resources, or other Service-related materials, UGC Jungle may continue using those materials under the license granted in these Terms. The Creator agrees that other Creators, Brands, and users may view, study, reference, adapt, recreate, or produce similar content based on Deliverables, creative structures, hooks, scripts, formats, editing styles, angles, or concepts made available through the Winning Creatives library or related resources. The Creator is not entitled to additional compensation, royalties, approval rights, attribution, or revenue share for such reference use, template use, educational use, inspiration, adaptation, or recreation, unless expressly agreed otherwise in a separate written agreement. For clarity, the Creator retains ownership of their Deliverables, but grants UGC Jungle the rights necessary to use those Deliverables and related creative elements as described above. This license survives termination of the Creator’s account, completion of a Campaign, removal from the Services, or deletion of the original content from third-party platforms. For clarity, UGC Jungle’s right to use Deliverables for internal reference, training, onboarding, quality control, case studies, sales materials, or the Winning Creatives library is separate from any Brand usage rights. A Brand may not use rejected, unpaid, disputed, non-compliant, or unapproved Deliverables merely because such Deliverables are visible or referenced within UGC Jungle’s systems, examples, creative libraries, dashboards, or materials. Brand Usage Rights By submitting Deliverables for a Campaign, the Creator grants the applicable Brand usage rights only after the Deliverables are approved and paid for, and only to the extent described in the applicable Campaign Agreement, Brand usage terms, or these Terms. Unless otherwise expressly agreed in writing, the default Brand license is limited to organic social media posting, website display, email marketing, and non-paid promotional use for twelve (12) months from approval or delivery. Paid advertising usage, whitelisting, Spark Ads, Meta ads, TikTok ads, paid amplification, dark posting, creator handle usage, paid use of the Creator’s name, image, likeness, voice, profile, or identity, extended usage, exclusivity, AI modification, dubbing, voice replacement, sublicensing, or material edits are not included by default and may require additional Campaign-specific approval, additional compensation, or separate written terms. If Deliverables are rejected, unapproved, unpaid, disputed, or non-compliant, the Brand receives no usage rights in those Deliverables unless expressly agreed otherwise in writing. C7. Creator Payouts Creator Payouts are compensation from UGC Jungle to the Creator under the applicable Creator terms, Campaign requirements, payout rules, verification requirements, and approval processes. Creator Payouts do not represent Brand funds held in escrow, trust, custody, safekeeping, segregation, or deposit for the Creator. Creators must complete all required onboarding, payment verification, identity checks, tax-related checks, compliance steps, and payout documentation to receive Payouts. No Creator has any right to receive a specific Payout unless the applicable Campaign requirements, verification requirements, payout threshold, fraud checks, analytics review, Brand payment status, and approval processes have been satisfied. UGC Jungle may, in its sole discretion, delay, withhold, suspend, adjust, reduce, reverse, or reject any Payout if: ● A Brand disputes the applicable Deliverables within the review period ● The Brand’s payment fails, is reversed, refunded, delayed, disputed, or subject to a chargeback ● UGC Jungle reasonably suspects fraud, misuse, metric manipulation, misrepresentation, infringement, non-compliance, or invalid traffic ● Deliverables are removed, deleted, hidden, made private, altered, restricted, muted, taken down, or otherwise fail to satisfy Campaign requirements ● The Creator fails to provide required analytics, audience data, verification materials, tax information, identity information, payment information, or other requested documentation ● The Creator breaches these Terms or Campaign requirements ● The Creator cannot lawfully receive Payouts ● Such action is required or recommended by law, a processor, a platform, a Brand, a regulator, or UGC Jungle’s compliance policies UGC Jungle does not guarantee payment for any Deliverables, views, metrics, conversions, referrals, sales, Campaign participation, or Campaign results unless expressly agreed otherwise in writing. For views-based, CPM-based, performance-based, or metric-based Campaigns, Creator Payouts are subject to Part I — Performance Metrics, Fraudulent Traffic, Metric Manipulation & Attribution. Platform-reported metrics do not automatically create a right to payment. Only metrics approved by UGC Jungle are eligible for Payout. For affiliate, referral, conversion-based, sales-based, or attribution-based Campaigns, Creator Payouts are subject to Part I — Attribution, Tracking, Cookie Loss & Manual Adjustments. No Creator is entitled to a payout for any conversion, referral, sale, or Campaign result unless it is successfully tracked, verified, and approved by UGC Jungle. UGC Jungle may make manual corrections at its sole discretion, but is not required to do so. UGC Jungle may set, adjust, approve, reject, or calculate Creator compensation based on Campaign terms, approved metrics, Brand payments, platform fees, campaign costs, fraud checks, compliance checks, and internal payout rules. To the maximum extent permitted by law, a Creator’s remedy for any unpaid, reduced, delayed, withheld, adjusted, or reversed Payout is limited to UGC Jungle’s applicable payout review or dispute process, unless UGC Jungle has expressly undertaken a different payment obligation in writing. C8. Continued Availability of Content Where a Campaign requires content to remain live, public, accessible, or otherwise maintained for a period of time, the Creator must comply with those requirements. If content is removed, hidden, made private, deleted, materially altered, or otherwise rendered non-compliant before the required period ends, UGC Jungle may reduce, suspend, or reverse related Payouts to the extent permitted by law and the applicable Campaign terms. C9. Non-Circumvention (Creators) Creators may not directly or indirectly accept off-platform payment, side deals, or outside engagement for UGC Jungle-sourced opportunities where doing so is intended to avoid fees, commissions, or platform protections. Violations may result in: ● Forfeiture of unpaid amounts to the extent permitted by law ● Account suspension or termination ● Removal from Campaigns ● Further enforcement action Creators may not encourage, accept, request, or participate in off-platform Brand deals, direct payments, alternative tracking arrangements, manual commission arrangements, or side agreements connected to UGC Jungle-sourced opportunities unless expressly approved in writing by UGC Jungle. C10. Creator Warranties Creators represent and warrant that Deliverables: ● Are original or properly licensed ● Do not infringe third-party rights ● Comply with advertising and disclosure laws ● Do not contain deceptive, unlawful, or unauthorized claims ● Meet applicable Campaign requirements Creators represent and warrant that, to the best of their knowledge, their Deliverables do not knowingly include stolen, unlawfully copied, or unauthorized third-party materials, except where the use of platform-native sounds, trends, templates, effects, or music is permitted by the applicable third-party platform and Campaign requirements. Creators are not responsible for a Brand’s separate paid advertising, reposting, sublicensing, editing, or commercial use of Deliverables beyond the rights and clearances expressly required from the Creator under the applicable Campaign terms. C11. Creator Cooperation Creators agree to reasonably cooperate with lawful requests relating to revisions, corrections, legal compliance, brand safety, or required changes to Deliverables where such requests are consistent with the applicable Campaign terms. C12. Enforcement UGC Jungle may remove content, restrict Campaign eligibility, suspend accounts, delay Payouts, terminate access, or take other enforcement action at its discretion where necessary to protect the Services, Brands, Creators, legal compliance, or business integrity.
